Welcome to Muah (the "Application" or "Service")!
These Terms of Service ("Agreement") are entered into between the Muah Team ("Company," "we," or "us") and users of Muah and its related services ("you" or "User"). This Agreement governs your use of Muah for communicating with other Users and accessing other online services provided by us. By clicking the "Register" button on the registration form, you acknowledge and accept all terms and conditions of this Agreement and consent to your registration as a Muah User.
If you do not agree to any provision of this Agreement, please refrain from clicking the "Register" button. Clicking the "Register" button binds you to these terms, regardless of whether you complete the registration process or purchase any paid services. We reserve the right to modify this Agreement at any time. Modified versions will take effect immediately upon publication on our website or Application, and such publication shall constitute sufficient notice to you.
1. Acceptance of Terms & Modifications
By accessing or using Muah, you confirm that you have read, understood, and agreed to be bound by this Agreement and any supplementary policies (including but not limited to the Privacy Policy) referenced herein.
Muah may update or revise this Agreement from time to time. Continued use of the Service after the publication of updated terms constitutes your acceptance of the modified Agreement. If you disagree with the changes, you must cease using Muah immediately.
2. User Eligibility & Account Standards
2.1 By registering for or using Muah, you represent and warrant the following:
• You are 18 years of age or older;
• You are not prohibited from using the Service under the laws of the United States or any other applicable jurisdiction;
• You will comply with this Agreement and all applicable local, state, national, and international laws, rules, and regulations;
• You have never been convicted of a felony, indictable offense, sex crime, or any crime involving violence, and you are not required to register as a sex offender.
2.2 Account Rules:
• You may create an account through manual registration or by using Google, Facebook, or Apple ID login credentials ("Third-Party Account"). Using a Third-Party Account authorizes us to access, display, and use certain information from that account, as detailed in our Privacy Policy.
• All registration information must be accurate, complete, and truthful. Inaccurate or incomplete information may result in account suspension until verification is completed.
• You are solely responsible for maintaining the confidentiality of your account password and all activities conducted under your account. Transactions performed using valid login credentials are deemed authorized by you.
• You may not authorize others to use your account, transfer your account to a third party, or share your account access with others.
• We may suspend or terminate your account if: (i) our Support team reviews correspondence and determines you have lost interest in the Service; (ii) you request the deletion of your personal data without providing a specific reason; (iii) you are identified on anti-fraud platforms or there is credible evidence of your involvement in illegal activities.
3. Strict Prohibition on Use by Minors
Muah strictly forbids anyone under the age of 18 (the “Minimum Age”) from registering for, accessing, or using any part of the Service. This restriction applies regardless of local laws, unless those laws require a higher minimum age, in which case the higher age will apply.
• By registering or using the Service, you represent and warrant that you are at least 18 years old (or the applicable higher minimum age) and have provided truthful age information during registration.
• If you are a parent or legal guardian and learn that your minor child has registered for or used the Service without authorization, you must immediately notify Muah at muah@wiserng.com and request the termination of the account.
• Muah reserves the right to verify any user’s age at any time. If we determine, at our sole discretion, that a user is below the Minimum Age, we will immediately terminate the account, delete all associated personal data (as required by law), and may take additional legal action as needed.
• Muah maintains zero tolerance for any activity that endangers minors, including but not limited to enticement, exploitation, abuse, assault, coercion, promotion of self-harm, suicide-related content, or threats directed at minors. Any user found engaging in such conduct will have their account permanently terminated, and we will report the behavior to the appropriate law enforcement authorities.
• If you encounter a user you suspect is under the Minimum Age, or notice any behavior that may endanger minors, please report it immediately using the in-app reporting feature or by emailing muah@wiserng.com, including relevant details (e.g., username, screenshots, chat logs) to assist with our investigation.
4. Service Usage Restrictions & Permissions
4.1 Non-Commercial Use Only
Muah is intended solely for personal, non-commercial use. Organizations, companies, or businesses are strictly prohibited from registering as Users or using the Service for commercial purposes. Any illegal or unauthorized use—such as collecting user information for unsolicited communications, linking to the Service without permission, creating competing databases, websites, apps, software, or services, engaging in money transmission, or using false identities—is strictly forbidden and may lead to legal action.
4.2 Permitted Use
Subject to your compliance with this Agreement, Muah grants you a personal, limited, non-commercial, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely on your personal device for personal purposes. If you access the Service through a third-party platform, your use is also governed by that platform’s applicable terms of service.
You may not:
(i) copy, modify, distribute, sell, lease, reverse engineer, or extract the source code of the Service without prior written permission or legal authorization;
(ii) bypass or circumvent any technological measures implemented to protect the Service;
(iii) engage in automated data collection, scraping, or create fake accounts.
5.User-Generated Content Guidelines
All content, information, photos, videos, calls, or personal data ("Content") you post, transmit, or share through Muah is subject to our periodically updated content guidelines.
5.1 Key Provisions:
• You are solely responsible for all Content you post or transmit via the Service.
• By posting Content, you grant Muah an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, reproduce, perform, display, distribute, and create derivative works of such Content.
• Prohibited Content includes, but is not limited to:
(a) Racism, bigotry, hatred, or promotion of physical harm;
(b) Harassment, bullying, or intimidation;
(c) Spam, chain letters, or unsolicited mass mailings;
(d) Defamatory, false, misleading, or fraudulent content, or promotion of illegal activities;
(e) Unauthorized copying or distribution of copyrighted works;
(f) Restricted or hidden pages/images;
(g) Inappropriate content (including nudity, bestiality, pornography, excessive violence, or depictions of criminal activity);
(h) Exploitation of minors or solicitation of their personal information;
(i) Instructions for committing illegal acts;
(j) Soliciting passwords or personal information for commercial or illegal purposes;
(k) Commercial activities or advertising without Muah’s prior written consent.
• Your profile may not contain phone numbers, physical addresses, real names, URLs, or email addresses. Communications with other Users may not include URLs, email addresses, or phone/fax numbers.
• Advertising, soliciting, chain letters, or spam is prohibited. Using User information to harass, abuse, harm, or contact others without their consent is strictly forbidden. We reserve the right to limit the number of emails or messages you send through the Service.
• Communications may be recorded for quality assurance purposes.
• Muah may review, remove, or restrict access to any Content at its discretion if it violates this Agreement, is offensive, illegal, or infringes on the rights or safety of others. We may investigate violations and take legal action as necessary.
6. Intellectual Property Rights
Muah owns or otherwise holds all intellectual property rights in the Application, the Services, and all associated materials, including, without limitation, copyrights, patents, trademarks, trade secrets, and other proprietary rights.
You may not copy, modify, publish, transmit, distribute, perform, display, sell, or otherwise exploit any proprietary information of Muah without our prior written consent, unless such information is already in the public domain. Any commercial use, reproduction, or licensing of Muah’s intellectual property to third parties requires formal written authorization from Muah.
7.Copyright Policy
You may not post, upload, or share any copyrighted material through the Service without obtaining prior permission from the copyright owner. If you believe that your copyrighted work has been infringed upon through the Service, please provide Muah’s Copyright Agent with the following information:
• A signature of the authorized representative of the copyright owner;
• A detailed description of the copyrighted work;
• The location (e.g., URL, username) of the allegedly infringing material on the Service;
• Your contact information (name, address, phone number, and email address);
• A statement of good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
• A statement, made under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.
8.User Interactions
You are solely responsible for all interactions with other Muah Users, including but not limited to meetings, communications, or transactions. Muah may monitor disputes between Users at its discretion but has no obligation to do so. We are not responsible for the authenticity of User information, promises made by other Users, or any expectations you may have regarding interactions with other Users.
9.Third-Party Services & Suppliers
9.1 Third-Party Services:
The Service may integrate or link to third-party services (e.g., payment processors, social media platforms). Your use of such third-party services is subject to their respective terms of service and privacy policies. Muah does not guarantee the security, accuracy, reliability, or effectiveness of third-party services, and you assume all risks associated with using them. Disputes with third-party service providers are your sole responsibility.
9.2 Suppliers:
Muah may engage third-party and affiliated marketing partners ("Suppliers") to assist in providing the Service. Suppliers are independent contractors, and Muah is not liable for their acts, omissions, or service quality. Supplier services may include:
• Providing registration-related information;
• Offering translation services and facilitating access to User communications;
• Delivering additional services as agreed upon with Muah;
• Processing other supplementary services (which are not automatically granted to Users).
All services provided by Suppliers are offered "as is" without any warranties, express or implied.
10.Privacy Policy
Use of the Service may involve the collection, use, and storage of your personal data. Muah’s Privacy Policy outlines how we handle such data, including the ways we collect, use, safeguard, and disclose your information. By using the Service, you acknowledge and agree to the terms of the Privacy Policy, which is incorporated into this Agreement by reference.
11. Disclaimer of Warranties
The Service is provided by Muah on an “as is” and “as available” basis, without any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted and error-free operation.
Muah does not warrant that the Service will be secure, reliable, or free from defects, or that any defects will be corrected. Muah shall not be liable for:
(i) interruptions, unavailability, or delays caused by technical issues, network congestion, or other factors beyond our reasonable control;
(ii) offensive, illegal, or inappropriate content posted by other users;
(iii) misuse of personal information by other users;
(iv) the accuracy, completeness, or authenticity of user-generated content;
(v) any losses, damages, or liabilities arising from your use of the Service or interactions with other users.
12.Limitation of Liability
To the fullest extent permitted by applicable law, Muah shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including but not limited to lost profits, data loss, or service interruption, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising out of or related to this Agreement or the Service shall be limited to the total amount of fees you have paid to Muah for the Service in the 12 months prior to the claim. Muah is not responsible for any activities that occur outside the scope of the Service.
13. Indemnification
You agree to indemnify, defend, and hold harmless Muah, its subsidiaries, affiliates, officers, directors, agents, partners, and employees from and against any and all claims, demands, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
• Your use of the Service, or any breach of this Agreement by you or anyone using your account;
• Your violation of any applicable laws, regulations, or the rights of third parties, including intellectual property rights, in connection with the Service;
• Any claim that your content infringes upon the intellectual property rights or other rights of a third party;
• Any other act or omission by you in connection with your use of the Service.
This obligation to indemnify applies regardless of whether the claim arises from any negligence or fault on your part.
14.Termination of Service
14.1 User-Initiated Termination:
You may terminate your Muah account at any time by sending a written notice to 邮箱@xxxx
14.2 Company-Initiated Termination:
Muah may terminate your account or suspend your access to the Service for any reason (with or without cause) by sending notice to your registered email address.
• If we terminate your account without cause, you will receive a pro-rated refund of any unused paid service fees.
• No refunds will be provided if your account is terminated due to a breach of this Agreement or at your own request.
• Paid services are non-refundable unless explicitly stated otherwise in this Agreement.
This Agreement shall remain in effect after termination, including but not limited to provisions related to indemnification, intellectual property, disclaimer of warranties, and limitation of liability.
15.General Provisions
15.1 Headings :
Clause titles are for reference only and do not affect the interpretation or enforceability of this Agreement.
15.2 Severability :
If any provision of this Agreement is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 No Waiver :
Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or our right to enforce it in the future.
15.4 Entire Agreement :
This Agreement constitutes the entire understanding between you and Muah regarding the Service, superseding all prior or contemporaneous agreements, communications, and understandings (whether written or oral). Additional terms may apply to third-party content or services accessed through the Service.
